Welcome to AutoSync Auto Finder. By accessing or using our platform, you agree to comply with and be bound by the following Terms and Conditions. If you do not agree to these terms, you must not use our platform.

1. Introduction

Welcome to AutoSync.co.za ("Website"), operated by AutoSync Technologies (Pty) Ltd ("AutoSync," "we," "our," or "us"). By accessing or using our Website and services, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Website.

These Terms apply to all users ("Users," "you," or "your") who access, register, or engage with any aspect of the Website and its services.

2. Definitions

"Platform": Refers to the AutoSync Auto Finder website and associated services.
"User": Refers to anyone accessing or using the platform.
"Vendor": Refers to individuals or businesses listing vehicles or parts for sale.
"Advert": An advertisement placed on the Website related to the sale or purchase of a vehicle, including specifications, photographs, pricing, and reviews.
"Dealer" or "Group": A person or entity regularly engaged in the business of buying and selling vehicles.
"Purchaser": An individual or entity acting on their own behalf or authorized to act on behalf of another entity, utilizing the Services offered on the Website.
"Content": All materials, information, text, graphics, images, audio, or video uploaded or made available on the Website by Users or AutoSync.

3. Eligibility

Users must be at least 18 years old to use the platform.
By using the platform, you confirm you have the legal authority to enter into this agreement under South African law.

4. Use of the Platform

The platform facilitates classified listings for vehicles and parts.
AutoSync Auto Finder is not responsible for the accuracy of listings, user interactions, or transactions between buyers and sellers.
Users agree not to:
- Post false, misleading, or inappropriate content.
- Use the platform for illegal activities as defined under South African laws, including fraud, theft, and unlawful advertising.
- Attempt to access unauthorized areas of the platform.

5. Listings and Transactions

Vendors are responsible for ensuring their listings are accurate, complete, and comply with applicable South African laws, including the Consumer Protection Act, 2008 (CPA). Buyers and sellers are responsible for conducting due diligence before entering transactions.

6. Fees and Payments

Vendors may be required to pay subscription or listing fees to use certain features. Fees are non-refundable unless otherwise stated. Payments are processed in compliance with the Payment Association of South Africa's (PASA) standards.

7. Intellectual Property

All content on the platform, including logos, text, and graphics, is the intellectual property of AutoSync Auto Finder. Users may not copy or distribute platform content without prior consent, as governed by the Copyright Act, 1978.

Users may not reproduce, distribute, modify, or create derivative works from any content on the Website without explicit written permission from AutoSync.

The use of AutoSync's logos or trademarks is prohibited without prior written consent.

8. Liability and Indemnification

AutoSync Auto Finder is not liable for any loss, damage, or dispute arising from the use of the platform. Users agree to indemnify AutoSync Auto Finder from any claims or damages resulting from a breach of these terms or applicable South African laws.

AutoSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Website or Services.

9. Privacy

The Privacy Policy governs the collection, use, and protection of user data. By using the platform, you agree to the terms outlined in the Privacy Policy and the Protection of Personal Information Act, 2013 (POPIA).

10. Changes to Terms

AutoSync Auto Finder reserves the right to modify these Terms and Conditions. Users will be notified of significant changes via email or on the platform.

11. Governing Law

These Terms and Conditions are governed by the laws of South Africa, and any disputes will be subject to the jurisdiction of South African courts.

12. Confidentiality

Any non-public information disclosed by one party to the other is deemed confidential and must be protected accordingly. Users agree not to disclose, solicit, or misuse any Confidential Information obtained through the Website.

If required by law, Users must notify AutoSync before disclosing any Confidential Information. Users must inform AutoSync immediately upon discovering any breach of confidentiality obligations.

13. Unauthorized Use of the Platform

Users may not:
- Use the Platform for any unlawful purpose or in violation of these Terms.
- Engage in activities that could damage, disable, or impair the Platform's functionality.
- Attempt to gain unauthorized access to any part of the Platform, other accounts, computer systems, or networks connected to the Platform.
- Upload or transmit any malicious software or code.
- Infringe upon any intellectual property rights or privacy rights of others.
Users are responsible for ensuring their activities on the Platform comply with all applicable laws and regulations.

14. Reservation of Rights

AutoSync reserves the right to modify, suspend, or discontinue any aspect of the Website or Services at any time without notice.

We retain the right to alter these Terms at any time. Updated Terms will be posted on the Website, and continued use of the Website constitutes acceptance of the new Terms.

15. Additional Services and Features

15.1 Ratings and Reviews

15.1.1 User Submissions: Registered Users may submit ratings and reviews of Dealers and vehicles. Submissions must be accurate, respectful, and comply with content standards.
15.1.2 License to Use Content: By submitting reviews, Users grant AutoSync a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, and display the content.
15.1.3 Content Moderation: AutoSync reserves the right to edit or remove any content that violates these Terms or is deemed inappropriate.

15.2 Advertising Services

15.2.1 Ad Placement: Only one advertisement per vehicle is allowed at any given time. Subsequent adverts for the same vehicle will replace the existing one.
15.2.2 Payment and Refunds: Advertisements must be paid for upfront. Payments are non-refundable once the advert is active on the Website.
15.2.3 Content Standards: Advertisements must comply with all applicable laws, including the Business Advertisement Disclosure Order 1977. Dealers must clearly state their status.

15.3 Special Services

15.3.1 Sell It For Me (SIFM): A premium service where AutoSync partners with third-party providers to handle vehicle sales on behalf of Sellers. Specific terms and conditions apply, including service fees and vehicle qualification requirements.
15.3.2 Instant Offer: A free valuation service where Users can receive offers based on vehicle information provided. This service is subject to verification and inspection, with no obligation to accept the offer.

16. Domicilium Citandi et Executandi

For legal proceedings and formal communications, the domicilium citandi et executandi is as follows:

Users agree that any notices to AutoSync shall be sent to the address provided above. AutoSync may change its domicilium upon providing written notice to Users, effective seven (7) days after receipt.

17. Dispute Resolution

17.1 In the event of any dispute arising out of or relating to these Terms or the use of the Website and Services, the parties agree to first attempt to resolve the dispute through amicable negotiations.
17.2 If the dispute cannot be resolved through negotiations, it shall be submitted to mediation before pursuing any other legal remedies.
17.3 Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.

18. Finance and Affordability Calculators

18.1 The financial tools provided on AutoSync.co.za, including finance affordability calculators, are intended for informational purposes only.
18.2 AutoSync is not a financial advisor or credit provider. Use of these tools does not constitute financial advice.
18.3 Users are responsible for verifying any financial information provided and for seeking professional advice as needed.
18.4 AutoSync disclaims all liability for any loss or damage resulting from the use of these financial tools.

19. General Provisions

19.1 Entire Agreement: These Terms, along with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between Users and AutoSync regarding the use of the Website and Services.
19.2 Governing Law: These Terms are governed by and construed in accordance with the laws of the Republic of South Africa.
19.3 Jurisdiction: Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.
19.4 Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
19.5 Waiver: Failure by AutoSync to enforce any provision of these Terms does not constitute a waiver of that provision.
19.6 Assignment: Users may not assign or transfer their rights or obligations under these Terms without AutoSync's prior written consent. AutoSync may assign its rights and obligations as it sees fit.
19.7 Modifications: AutoSync reserves the right to modify these Terms at any time. Users are responsible for regularly reviewing the Terms. Continued use of the Website constitutes acceptance of the updated Terms.
